Terms of Service

1. Agreement

These Terms of Service ("Terms") are a contract between you and Develofi, LLC, a Florida limited liability company, located at 7901 4th St N, Ste 300, St. Petersburg, FL 33702 ("we," "us"). They govern your use of UnDecked at undecked.io, meet.undecked.io, and related services (the "Service").

B3IP Holdings, Inc. owns the UnDecked trademarks and underlying intellectual property and licenses them to Develofi, LLC.

2. Eligibility

You must be at least 18 years old to use the Service.

3. License to use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business or personal purposes.

4. Prohibited uses

You may not: upload unlawful, infringing, or harmful content; attempt to gain unauthorized access to the Service or other accounts; interfere with or disrupt the Service; reverse engineer the Service; use the Service to harass or harm others; or resell the Service without our written permission.

5. Accounts

You are responsible for keeping your credentials secure and for all activity under your account. Provide accurate information and notify us promptly of unauthorized use.

6. Purchases and subscriptions

Paid plans, including per-meeting purchases and subscriptions, are processed by our third-party payment processor, acting as merchant of record. That processor's terms govern the transaction, refunds, and applicable taxes.

7. Your content

You retain ownership of the files and materials you upload, present, or share through the Service.

You grant Develofi, LLC a worldwide, non-exclusive, royalty-free license to host, store, display, and distribute your content solely within the Service to operate it for you and your audience.

You are responsible for your content and for having the rights to use it. We may remove content at our discretion, including content that violates these Terms. Free-tier sessions and their content are deleted automatically after the retention period of your plan.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $100.

10. Indemnification

You agree to indemnify and hold harmless Develofi, LLC, B3IP Holdings, Inc., and their affiliates from claims arising out of your misuse of the Service, your content, or your violation of these Terms.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if required by law. Sections that by their nature should survive termination will survive.

12. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Exclusive venue for any dispute lies in the state and federal courts located in St. Johns County, Florida.
